1. Agreement to Terms

Welcome to precipitation.ai ("Service"), owned and operated by Sourdough AI LLC ("Company," "we," "us," or "our"), a limited liability company organized under the laws of the State of California. By accessing or using precipitation.ai, including any content, functionality, and services offered on or through the website, API, or any associated applications, you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Service.

2. Description of Service

precipitation.ai is a weather data analytics and information platform. The Service provides weather forecast data, National Weather Service (NWS) observation data, prediction market data aggregation, analytical tools, and informational signals. The Service is strictly an informational and analytics tool. We do not operate a trading platform, exchange, or brokerage. We do not facilitate, execute, or settle any trades, contracts, or financial transactions. We do not hold, custody, or transmit any user funds.

3. Not Financial or Trading Advice

THE INFORMATION PROVIDED THROUGH THE SERVICE, INCLUDING BUT NOT LIMITED TO TRADING "SIGNALS," DIVERGENCE INDICATORS, ACCURACY SCORES, FORECAST DATA, AND ANY OTHER ANALYTICAL OUTPUT, IS FOR INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY. NOTHING ON THIS SERVICE CONSTITUTES FINANCIAL ADVICE, TRADING ADVICE, INVESTMENT ADVICE, OR ANY OTHER FORM OF PROFESSIONAL ADVICE.

Any "signals," "opportunities," or similar indicators displayed on the Service are algorithmically generated based on publicly available data and should not be interpreted as recommendations to buy, sell, or hold any prediction market contract or financial instrument. Past performance of signals, forecasts, or accuracy metrics does not guarantee future results.

You acknowledge and agree that:

  • All trading and investment decisions are made solely by you at your own risk.
  • You should consult with a qualified financial advisor before making any trading decisions.
  • Prediction market trading involves substantial risk of loss, including the potential loss of your entire investment.
  • The Company is not responsible for any financial losses resulting from your use of the Service or reliance on any information provided by the Service.

4. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

5. Account Registration

To access certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain and promptly update your account information.
  • Maintain the security and confidentiality of your login credentials and API keys.
  • Accept responsibility for all activities that occur under your account.
  • Notify us immediately of any unauthorized use of your account.

You are solely responsible for safeguarding your API keys. The Company is not liable for any loss or damage arising from your failure to protect your account credentials or API keys.

6. Subscription and Payment Terms

Certain features of the Service require a paid subscription. By subscribing to a paid plan, you agree to:

  • Pay all applicable fees as described on the pricing page at the time of subscription.
  • Authorize Sourdough AI LLC to charge your payment method on a recurring basis (monthly or annually) until you cancel.
  • Subscription fees are billed in advance and are non-refundable except as expressly stated in our refund policy.
  • We reserve the right to change subscription pricing at any time with 30 days' notice. Price changes will take effect at the start of your next billing cycle.

Refund Policy

If you are not satisfied with a paid subscription, you may request a full refund within 14 days of your initial purchase. Refunds are not available after 14 days or for renewal charges. Free trials that convert to paid subscriptions are eligible for refund within 14 days of the first paid charge.

Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to paid features until the end of your current billing period.

7. API Terms of Use

If you access the Service through our API, the following additional terms apply:

  • You must use a valid API key for all requests.
  • You must not exceed the rate limits associated with your subscription tier.
  • You must not share, sell, sublicense, or publicly expose your API key.
  • You must not use the API to build a service that directly competes with precipitation.ai.
  • You must not use the API to redistribute our data in bulk or create a derivative data product without written permission.
  • You must not use automated means to circumvent rate limits or access restrictions.
  • We reserve the right to revoke API access at any time for violation of these terms.
  • API data is provided "as is" and may contain errors, delays, or inaccuracies.

8. Intellectual Property

The Service and its original content, features, functionality, and design are owned by Sourdough AI LLC and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

Weather data sourced from the National Weather Service (NWS) and other government agencies is in the public domain. Prediction market data sourced from third-party exchanges (including Kalshi and Polymarket) is subject to those platforms' respective terms. Our proprietary analysis, signals, accuracy calculations, and presentation of such data are protected intellectual property of Sourdough AI LLC.

9. Third-Party Services and Links

The Service contains links to third-party websites and services, including but not limited to Kalshi, Polymarket, and various weather data providers. These links are provided for your convenience and do not signify our endorsement of such third-party services.

We are not responsible for the content, accuracy, terms, privacy practices, or availability of any third-party services. Your use of third-party services, including any prediction market exchanges, is governed by those services' own terms and conditions.

You acknowledge that:

  • Trading on Kalshi, Polymarket, or any other prediction market is subject to those platforms' terms, fees, and regulations.
  • The Company has no control over and assumes no responsibility for trades executed on third-party platforms.
  • Prediction market exchanges are regulated separately and may not be available in all jurisdictions.

10. Affiliate Disclosure

The Service may contain affiliate links to third-party trading platforms. When you click these links and create an account or complete a transaction, we may receive a commission. This affiliate relationship does not affect the information or analysis we provide, and we clearly disclose this relationship in our Affiliate Disclosure policy.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY LAW, SOURDOUGH AI LLC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
  • WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY DATA, SIGNALS, FORECASTS, OR INFORMATION PROVIDED THROUGH THE SERVICE.
  • WARRANTIES THAT THE RESULTS OBTAINED FROM USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE.
  • WARRANTIES THAT ANY ERRORS IN THE SERVICE WILL BE CORRECTED.

Weather data, forecast data, and prediction market data may contain errors, delays, or inaccuracies. NWS data is provided by the United States government and may be subject to revision. Prediction market data is sourced from third-party exchanges and may not reflect real-time conditions.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SOURDOUGH AI LLC, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • LOSS OF PROFITS, REVENUE, DATA, OR USE.
  • FINANCIAL LOSSES FROM TRADING OR INVESTMENT DECISIONS.
  • LOSSES ARISING FROM RELIANCE ON ANY INFORMATION PROVIDED BY THE SERVICE.
  • LOSSES ARISING FROM INTERRUPTION OF SERVICE OR DATA INACCURACIES.
  • LOSSES ARISING FROM UNAUTHORIZED ACCESS TO YOUR ACCOUNT.

WHETHER ARISING FROM CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL THE TOTAL LIABILITY OF SOURDOUGH AI LLC EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

13. Indemnification

You agree to indemnify, defend, and hold harmless Sourdough AI LLC, its officers, directors, members, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service.
  • Your violation of these Terms.
  • Your violation of any third-party rights, including intellectual property rights.
  • Any trading or investment decisions you make based on information from the Service.
  • Any content you submit to or through the Service.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Service shall be resolved through binding arbitration administered by JAMS in San Francisco, California, in accordance with its Streamlined Arbitration Rules and Procedures. The arbitrator's decision shall be final and binding. You agree to waive any right to a jury trial or to participate in a class action.

15. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will cease immediately. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting updated Terms on the Service with a new "Last Updated" date. Your continued use of the Service after any changes constitutes acceptance of the new Terms. It is your responsibility to review these Terms periodically.

17. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
